Paramount Global’s ongoing saga continues: Yesterday, the studio’s new co-CEOs—Brian Robbins, George Cheeks, and Chris McCarthy—postponed an employee town hall to June 25 as Shari Redstone reviews a tempting takeover offer from Skydance Media, led by David Ellison.
The Offer on the Table:
Skydance is offering $15 per share to the non-voting Class B shareholders.
They plan to add $1.5B to Paramount to help pay off some of its debt.
Skydance’s total offer is about $7.9 billion to buy most of the voting Class A shares and 60% of the non-voting Class B shares.
Decision Time: Shari Redstone, who has the biggest voting power at Paramount, is deciding if this is the best deal.
Delayed Town Hall, But Why? The co-CEOs want to address the potential merger candidly. They’re hoping there will be more clarity by the 25th, allowing them to address it better.
The three were initially set to discuss their vision with employees. Presumably, their plan would only be relevant if Redstone decides against the Skydance deal and other offers fall through.
“Given the ongoing speculation regarding potential M&A, we want to be able to speak to you with as much candor and transparency as possible.”
Shari Redstone’s Dilemma: While Skydance offers a clear path with a significant cash injection and debt reduction, Redstone was reportedly unhappy with Skydance’s latest revised offer. Redstone must decide whether to accept Skydance’s detailed plan, explore other offers further, or continue with Paramount’s current strategy under its new leadership structure. Her hesitation fuels speculation about the next move.
Why Skydance Over Sony? Many creatives prefer Skydance over Sony for a simple reason: independence.
Under Skydance, Paramount would remain its own studio, continuing its diverse slate of film and TV productions.
A Sony merger, on the other hand, might fold Paramount’s operations into Sony’s, potentially reducing opportunities for content creators.
Writers and producers fear this consolidation could stifle creativity and reduce the number of studios needing new content.
For now, all eyes are on the next shareholder meeting and the rescheduled town hall.
Nielsen and Lionsgate are joining forces to bring Nielsen's audience measurement to Lionsgate's MovieSphere FAST channel. This collab marks the first time a major FAST channel (free ad-supported streaming TV) will have its audience measured with Nielsen’s linear TV metrics. Lionsgate aims to take advantage of the surging popularity of FAST, gaining detailed demographic insights to fine-tune their content and ad strategies. This could also be a game-changer for live sports streaming: Tons of commercial spots go unsold and miss out on viewers, partly because Nielsen’s been a bit slow to adapt to the streaming era. This partnership could be a solid first step to unlocking better ad placement and measurement across the streaming universe.

New York is stepping up with three new AI-related bills. The bills aim to: establish contract requirements for digital replicas, deny tax credits to films replacing human workers with AI, and impose fines on ads that don’t disclose synthetic media use. This legislative crackdown reflects New York’s proactive stance on AI in Hollywood, and comes hot on the heels of Scarlett Johansson's beef with OpenAI, claiming they straight-up stole her voice for a chatbot. Insiders are saying the digital replica bill has a pretty good shot at landing on Governor Kathy Hochul's desk. We’ll keep you posted as these bills make their way through the legislative gauntlet.
